    These Terms of Service ("Terms") are a contract between you ("you" or "your") and EZtransition LLC. By accessing our website, corresponding with us, or using our products and services, you agree to these Terms. Please read them carefully. If you do not agree, do not use our services.

    1. Purpose and Overview

    EZtransition provides done-for-you marketing systems and automation for local businesses, including search engine optimization (SEO), online advertising management, AI-powered phone and chat assistants, review and reputation management, local business listing and ranking tools, content and social media management, customer relationship management (CRM) systems, and related managed services.

    Some services are delivered by software, including AI assistants ("AI Services"). These Terms apply to all services we provide, whether paid, bundled, or offered at no charge.

    3. Services

    3.1. Nature of Services.

    EZtransition provides marketing, automation, and AI services to business customers. The specific services you receive are described in your order, proposal, or statement of work.

    3.2. Third-Party Services.

    Some services rely on third-party platforms (for example, advertising platforms, email providers, and AI infrastructure). Those third parties' own terms and policies also apply to their respective services. EZtransition is not responsible for the performance or availability of third-party platforms.

    3.3. Changes to Services.

    We may update, improve, or change our services from time to time. We will use reasonable efforts to inform you of material changes.

    4. AI Assistants and AI Services

    4.1. General.

    When you use an EZtransition AI assistant (such as "Sam" or any office-manager or customer-facing assistant), the assistant is provided as a service to you by EZtransition. The assistant is a tool we operate on your behalf and under your direction.

    4.2. No Independent Judgment.

    AI assistants are software tools. They do not have independent legal authority to bind you. You are responsible for reviewing and approving the actions the assistant takes on your behalf, including any messages, emails, or other communications sent using the service.

    4.3. Email and Account Access.

    If you connect a business email account or other account to an AI assistant, you authorize EZtransition (and its authorized service providers) to access that account solely to provide the requested assistant services. Access is limited to what is needed to perform the services you request.

    4.4. No Historical Ingest by Default.

    Unless you separately and explicitly opt in to a bulk data import, EZtransition AI assistants do not scan, copy, or index your entire historical mailbox or account contents. The assistant works with messages and content you ask it to review at the time you ask. We retain only limited records necessary to provide and improve the service (see our Privacy Policy).

    4.5. Human Review and Approval.

    For actions that send external communications (such as sending an email), EZtransition services are designed to require your confirmation before the action is sent, unless you have configured automatic approval in writing.

    4.6. CRM and Customer Data Storage.

    Where you use EZtransition's customer relationship management (CRM) services, business and customer data — including contact records, correspondence such as email and messages, notes, and interaction history — is stored by the CRM platform to operate the service and maintain your business records. Unlike the on-demand access described above, information held within a CRM is intended for long-term storage so you can manage and reference your customer relationships over time. We retain such data for as long as your account is active or as required by law, and you may export or request deletion of your data as described in our Privacy Policy.

    5. Your Responsibilities

    5.1. Accurate Information.

    You agree to provide accurate and current information about your business and your accounts.

    5.2. Authority.

    You represent that you have the authority to bind the business you represent and to grant EZtransition access to the accounts and data necessary to provide the services.

    5.3. Compliance.

    You agree to use our services in compliance with all applicable laws, including marketing and privacy laws, and our Acceptable Use terms.

    5.4. Account Security.

    You are responsible for maintaining the confidentiality of your login credentials and for activity under your accounts.

    6. Payment, Billing, and Renewal

    6.1. Fees.

    You agree to pay all fees described in your order or proposal. Fees may be billed monthly, annually, or as otherwise stated.

    6.2. Automatic Renewal.

    Unless you cancel before the end of the current term, services may renew automatically at the then-current rates. You may cancel by notifying us in writing before the renewal date.

    6.3. Usage-Based Fees.

    Some services are priced on a recurring deposit basis plus usage. Where a plan includes a monthly deposit that covers a stated allowance of usage (for example, SMS, voice/minutes, AI usage, or email volume), the deposit is billed in advance each period. Usage beyond the included allowance within a period is billed after the fact at the rates stated in your order or proposal. This includes, without limitation, SMS, voice, AI, and email usage incurred after the monthly deposit is exhausted. Usage charges are added to the next invoice.

    6.4. Late Payment.

    Past-due accounts may be suspended or terminated.

    6.5. No Refunds for Completed Work.

    Refunds for services already delivered are not provided except as required by law or as stated in a specific agreement. Cancellation stops future billing but does not refund prior periods.

    7. Intellectual Property

    7.1. Our IP.

    All right, title, and interest in EZtransition's technology, software, content, and materials remain with EZtransition or its licensors. You receive a limited, non-exclusive, non-transferable license to use the services for your business.

    7.2. Your Content.

    You retain ownership of your business data and content. You grant EZtransition a limited license to use, process, and store your data solely to provide the services you request.

    8. Confidentiality and Data

    8.1.

    We treat your business data as confidential and use it only to provide the services.

    8.2.

    Our handling of personal data is described in our Privacy Policy.

    9. Warranties and Disclaimers

    9.1. Services Provided "As Is."

    Except as expressly stated in a signed agreement, our services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

    9.2. AI Limitations.

    AI assistants can make errors. We do not warrant that AI-generated content, summaries, or actions will be accurate, complete, or error-free. You are responsible for reviewing AI outputs before relying on them or acting on them.

    9.3. Third-Party Platforms.

    We are not responsible for the availability, accuracy, or performance of third-party platforms on which our services depend.

    10. Limitation of Liability

    To the maximum extent permitted by law, EZtransition shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to these Terms or the services shall not exceed the total fees you paid EZtransition in the three (3) months preceding the event giving rise to the claim.

    11. Indemnification

    You agree to indemnify and hold harmless EZtransition and its personnel from claims arising out of (i) your use of the services, (ii) your content or data, or (iii) your violation of these Terms or applicable law.

    12. Termination

    12.1.

    Either party may terminate the services for convenience with written notice as described in your agreement or order.

    12.2.

    We may suspend or terminate services for violation of these Terms, non-payment, or conduct that threatens the security or integrity of our systems or other customers.

    12.3.

    Upon termination, we will return or delete your data as described in our Privacy Policy, subject to legal retention requirements.

    13. Governing Law and Disputes

    These Terms are governed by the laws of the State of Oklahoma, USA, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Oklahoma.

    14. Changes to These Terms

    We may update these Terms from time to time. The most current version will always be posted at this page. Material changes will be communicated to you by email or by a notice on our website. Continued use of the services after changes take effect constitutes acceptance.

    15. Entire Agreement

    These Terms, together with our Privacy Policy and any signed agreement or order, constitute the entire agreement between you and EZtransition regarding the services and supersede prior agreements.

    16. Severability

    If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.

    • Usage data (how you use our services)

    2.3. Account Access You Authorize.

    When you connect a business email account or another account to an AI assistant, you authorize us to access that account to provide the requested services. Access is limited to what is needed to perform the tasks you request.

    3. How We Use Information

    We use your information to:

    • Provide, operate, and improve our services
    • Respond to your requests and communicate with you
    • Bill and collect payment for services
    • Ensure security, detect fraud, and prevent abuse
    • Comply with legal obligations
    • Send you service-related notices and, with your consent, marketing communications

    We do not sell your personal information.

    4. AI Assistants and Email Data

    4.1. On-Demand Access Only.

    When you use an AI assistant to work with your email or documents, the assistant reads a specific message, thread, or attachment only when you ask it to. We do not, by default, scan or index your entire historical mailbox.

    4.2. What We Store.

    We retain limited information needed to provide the service — for example, message summaries or pointers, and records of actions taken (such as drafts, sends, and approvals). We do not maintain full copies of your mailbox unless you separately request and opt in to a bulk import.

    4.3. Approvals.

    Actions that send external communications (for example, sending an email) require your confirmation before they are sent, unless you have configured automatic approval in writing. You are responsible for reviewing AI drafts before they are sent.

    4.4. AI Outputs.

    AI assistants may make errors. You should review AI-generated content before relying on or acting on it.

    5. How We Share Information

    We share information only in limited circumstances:

    • Service providers who help us operate our services (for example, cloud infrastructure, email and calendar platforms you connect, payment processors, and AI model providers). These providers process data on our behalf under contractual obligations to protect it.
    • Business transfers (for example, a merger, sale, or acquisition).
    • Legal requirements (to comply with law, court orders, or government requests, or to protect rights and safety).

    We require our service providers to protect your data and use it only to provide services on our behalf.

    6. How Long We Keep Information

    We retain personal information only as long as necessary to provide the services, comply with legal obligations, resolve disputes, and enforce agreements. When information is no longer needed, we delete or anonymize it.
